HERALDBook 15 minutes

Your next Reg A filing has a due date. File it without a filing agent.

Herald turns the Word and Excel files your finance team already writes into an EDGAR filing for Forms 1-A, 1-K, 1-SA, 1-U and 1-Z, checks it against the EDGAR Filer Manual, and files it on your schedule.

When is yours due?

Regulation A first. EDGAR HTML from Word and Excel; XBRL is not part of Herald.

The four Reg A clocks

Regulation A ongoing-report deadlines
1-SASemiannual report · after the first six months90 days
1-KAnnual report · after fiscal year end120 days

Offering statements (1-A, 1-A POS and amendments) run on your timetable, not the SEC's; Herald files those too.

How it works

Today you finish the close, send Word to a filing agent, wait for their proof, mark it up and wait again. With Herald the same filing stays in your hands from draft to EDGAR.

  1. 1

Add the file you already have

Upload the Word document or Excel statements your team finished at the close. Nothing to re-key, no new system of record, no ERP connection.

  2. 2

Herald converts it to EDGAR HTML

Formatting rules handle the document first. An AI model takes only the sections the rules cannot, and Herald marks each of those so you check them first.

  3. 3

Check it, then sign it off

Every document is checked against rules from the EDGAR Filer Manual. You review it section by section beside your source, flag what is wrong, and sign off each document with your name and the time.

  4. 4

    File it with EDGAR

Send a TEST filing first, then LIVE, from the same page. Herald files as your delegated filing agent or with your own EDGAR credentials, and shows a filing as submitted only once EDGAR has received it.

    TEST filing.
EDGAR checks the submission and reports back. Nothing is filed or made public.
    Delegated filing agent.
EDGAR lets an issuer authorise an agent to file under its CIK; Herald can be that agent.
    Your own credentials.
Your CIK’s access code (CCC) and EDGAR API tokens. Herald stores them encrypted and never shows them again.

Checked before EDGAR sees it

EDGAR suspends a whole submission for one malformed style or one missing image. Herald runs rule-based checks drawn from the EDGAR Filer Manual on every document and tells you what would stop it, in plain words.

Exhibit 6.1 ex6-1.htm

Would be suspended · 2

  • Fails: SUSPEND css-declaration: style="text-align: left border-bottom: 8 single 000000"

A Word border leaked into the HTML. Herald splits the declaration and writes the border as CSS.

  • Fails: SUSPEND external-reference: <IMG SRC="https://…/logo.png"> names a remote file

EDGAR rejects remote images. Add the logo to the filing as a .jpg and the reference resolves.

  • Passes: Allowed tags only · every tag closed · no scripts

    Passes.

  • Passes: Every referenced graphic and document is in the package

Passes once the logo is added.

If a 1-K, 1-SA or offering amendment is coming up, book 15 minutes and let's discuss.

What it covers

Forms 1-A, 1-A POS and amendments, 1-K, 1-SA, 1-U, 1-Z and Rule 253(g) supplements.

Regulation A is where Herald starts, and other filers and regimes come next. Exchange Act reports (10-K, 10-Q, 8-K), registration statements and XBRL are not covered today.

The best time to change how you file is before the next one is due.
